Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and Stonegate Labs LLC, an Illinois limited liability company ("Stonegate Labs," "we," "us," or "our"), governing your access to and use of the Sitecito website builder platform (the "Service"), available at sitecito.com.

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least eighteen (18) years of age to use the Service. By creating an account, you represent that you are at least 18 years old and have the legal capacity to enter into a binding agreement. If you are using the Service on behalf of a business, you represent that you have the authority to bind that entity to these Terms.

2. Account Registration and Responsibilities

You must provide accurate, current, and complete information when registering. You are solely responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately at hello@stonegate-labs.com if you suspect unauthorized access. Each account is for a single individual or entity.

3. The Service

Sitecito is a website builder designed for small service businesses. Features include template selection, content editing, gallery blocks, contact forms, custom domain connection, and English/Spanish language toggle. We reserve the right to modify or discontinue features at any time.

4. Acceptable Use

You agree to use the Service only for lawful purposes. You may not use the Service to create, publish, or host websites or content that:

• Violates any law or regulation
• Infringes intellectual property rights of any third party
• Contains adult, sexually explicit, or obscene material
• Promotes or facilitates illegal activity, fraud, or violence
• Distributes malware, viruses, or harmful code
• Is designed to phish, harvest credentials, or deceive visitors
• Sends or facilitates spam or unsolicited communications
• Contains defamatory, harassing, or threatening content
• Impersonates any person or entity
• Promotes hatred or discrimination based on protected characteristics
• Collects personal information from visitors without proper notice and consent
• Interferes with or disrupts the Service

We reserve the right to review websites, remove content, and suspend or terminate accounts that violate these Terms, without prior notice when we reasonably believe a violation poses risk of harm or legal liability.

5. User Content

5.1 Ownership

You retain all ownership rights in content you submit through the Service ("User Content"), including text, images, gallery photos, and business information.

5.2 License Grant

By submitting User Content, you grant Stonegate Labs a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, display, reproduce, cache, transmit, and distribute your User Content solely for operating and improving the Service, including displaying your content on the website you publish and delivering it to visitors.

5.3 Your Responsibilities

You are solely responsible for all User Content. You represent that you own or have the necessary rights to use your content, that it does not violate any third party's rights, and that it complies with these Terms and all applicable laws.

5.4 DMCA Takedown

We comply with the Digital Millennium Copyright Act (DMCA). If you believe content on the Service infringes your copyright, submit a DMCA takedown notice to:

Include: identification of the copyrighted work and infringing material (with URL), your contact information, a good faith belief statement, and a statement under penalty of perjury that you are authorized to act on behalf of the copyright owner. Repeat infringers will have accounts terminated.

6. Custom Domains

You are responsible for registering, maintaining, and properly configuring DNS for any custom domain you connect. You represent that you own or are authorized to use the domain. We provide SSL/TLS certificates automatically at no additional charge. We are not responsible for domain registration, renewal, expiration, or DNS issues outside our control.

7. Subscriptions, Payments, and Billing

7.1 Plans

• Pro Plan: $12.00/month — one (1) published website
• Business Plan: $29.00/month — up to ten (10) published websites

7.2 Payment

All payments are processed through Stripe. You authorize recurring monthly charges to your payment method on file.

7.3 Automatic Renewal

AUTOMATIC RENEWAL NOTICE (IL 815 ILCS 601): Your subscription automatically renews at the end of each billing period at the then-current rate unless you cancel before the renewal date. You may cancel auto-renewal at any time through your account settings or by contacting hello@stonegate-labs.com.

7.4 Cancellation

You may cancel at any time. Your subscription remains active through the end of the current billing period. Your published website(s) will be taken offline at the end of the billing period. Account data is retained for 30 days after the billing period ends, then permanently deleted.

7.5 Refunds

Payments are non-refundable except as required by law. Contact us within 30 days of a charge you believe was made in error.

7.6 Price Changes

We may change prices with at least 30 days' notice via email. The new price takes effect at the start of your next billing period. Continued use constitutes acceptance.

7.7 Taxes

All fees are exclusive of applicable taxes. You are responsible for sales tax, VAT, or similar taxes in your jurisdiction.

8. Site Visitor Data

8.1 Your Role as Data Controller

When visitors interact with your Sitecito website (for example, by submitting a contact form), the personal information they provide is collected on your behalf. You are the data controller for your visitors' data, and we act as a data processor.

8.2 Your Obligations

You are responsible for providing appropriate privacy notices to your website visitors, obtaining any necessary consent for data collection, and complying with all applicable privacy laws regarding your visitors' data. You must publish a privacy policy on your Sitecito website if you collect personal information from visitors.

8.3 Contact Form Submissions

Contact form submissions from your site visitors are delivered to you. We store these submissions to provide the Service but do not use visitor data for any other purpose.

9. Intellectual Property

The Service — including all software, design, text, graphics, logos, and other materials — is owned by Stonegate Labs and protected by copyright, trademark, and other intellectual property laws. "Sitecito" and "Stonegate Labs" are trademarks of Stonegate Labs LLC. You may not use our trademarks without prior written permission.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. We disclaim all warranties, including merchantability, fitness for a particular purpose, non-infringement, and availability. We do not warrant that the Service will be uninterrupted, error-free, or secure.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW: Stonegate Labs' total liability for all claims arising out of these Terms or the Service shall not exceed the total amount you paid to us during the twelve (12) months preceding the claim. We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or business opportunities. These limitations apply regardless of the theory of liability.

12. Indemnification

You agree to indemnify, defend, and hold harmless Stonegate Labs from any claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from: your use of the Service, your User Content, content published on your Sitecito website, your violation of these Terms, your violation of any third party's rights, or claims by your website visitors.

13. Dispute Resolution

Before filing any formal legal action, you agree to contact us at hello@stonegate-labs.com and attempt to resolve the dispute informally for at least 30 days. If informal resolution fails, any legal action shall be brought exclusively in the state or federal courts located in Cook County, Illinois. You agree that any disputes will be resolved on an individual basis and waive any right to participate in a class action or representative proceeding.

14. Force Majeure

We shall not be liable for any failure or delay due to causes beyond our reasonable control, including natural disasters, pandemics, war, government actions, power outages, internet failures, cyberattacks, or failures of third-party providers.

15. Termination

You may terminate your account at any time. We may suspend or terminate your access with or without cause, with or without notice. Upon termination, your published websites are taken offline immediately (or at the end of prepaid period). We retain your data for 30 days, after which it may be permanently deleted. Sections that by their nature should survive termination will survive.

16. Electronic Communications

By creating an account, you consent to receiving electronic communications from us, including emails and in-app notices. You agree these satisfy any legal requirement for written communications (ESIGN Act).

17. General Provisions

• Severability. If any provision is found invalid, the remaining provisions remain in full force.
• Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement.
• Assignment. You may not assign these Terms. We may assign without restriction.
• Waiver. Failure to enforce a provision is not a waiver.
• No Third-Party Beneficiaries. These Terms create no rights for third parties.

18. Governing Law

These Terms are governed by the laws of the State of Illinois, without regard to conflict of law principles. The UN Convention on Contracts for the International Sale of Goods does not apply.

19. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes at least 30 days before they take effect by email or prominent in-app notice. Continued use after changes constitutes acceptance.
